Valuation

What is your pharmacy worth? Start with earnings, then define the price

Build an understandable valuation conversation without treating an online multiple as a market fact.

Start with a question the number can answer

A pharmacy valuation is useful only when its purpose and contents are clear. An early planning scenario can help you identify information gaps. A supported valuation for a sale, financing or shareholder discussion requires a different level of work. Begin by writing down which decision you want to make, the relevant date, the legal entity involved and whether the property is included. Otherwise two people can discuss the same price while referring to different assets.

BDC describes income, asset and comparable approaches to business valuation. Its general guidance is not a Canadian pharmacy comparable-sales database. For an owner, the practical first step is to prepare a reconciled view of sustainable operating earnings and the evidence behind it. Business Development Bank of Canada

Normalize the earnings that would continue

EBITDA means earnings before interest, income-tax expense, depreciation and amortization. Normalization asks what the pharmacy could earn with the necessary people, premises and services paid for on an ongoing basis. Document one-time or discretionary costs, but also identify expenses that are missing. A pharmacist-owner who works substantial hours cannot assume a successor receives that labour free. Count replacement cost once and explain the role it covers.

Consider a wholly fictional illustration: reported EBITDA of $200,000, supported eligible adjustments of $30,000 and missing recurring costs of $20,000 produce normalized EBITDA of $210,000. The operating result is the starting point; neither the adjustments nor a chosen multiple have been verified for your pharmacy.

Use 4–8× as a planning envelope, with quality conditions

This resource uses a proposed 4–8× normalized EBITDA planning envelope at S&B’s request. Regional entries are estimates for review, not observed comparable transactions. BDC provides a framework for considering earnings, assets and comparable evidence; its guidance does not establish these pharmacy-specific numbers. Business Development Bank of Canada Smith & Bederman Advisory Group

For the fictional $210,000 normalized EBITDA example, 4× is $840,000 and 6× is $1,260,000. An 8× exceptional-store scenario is $1,680,000. The 8× case is reserved for the highest-quality businesses and requires an explicit exceptional-quality assumption in the tool. It is not a normal outcome for every downtown location.

The market explorer varies proposed envelopes by location, while recognising that lease security, staffing, earnings durability, competition, compliance and concentration can outweigh density. A good rural store can outperform a weaker urban store. No region or profile guarantees a price or available financing.

Turn a scenario into a useful next conversation

Specify whether inventory is included, counted separately or covered by a working-capital mechanism. List cash, debt, receivables, real estate, tax and transaction costs separately. Do not label operating value as what you will personally receive. Any equity-value bridge must use an explicit convention, and after-tax proceeds require your accountant’s analysis.

Then ask which assumptions matter most: owner dependence, staffing coverage, lease security, gross-profit quality, payer or prescriber concentration, contract terms and the transition you want. These are investigation topics, not automatic premiums or discounts. Use the normalization tool and seller document checklist to prepare the evidence, then book a confidential discussion about the circumstances behind your numbers.
