What moves a pharmacy multiple? Value drivers beyond population density
A practical review of the operating strengths and risks that can raise or reduce value, including in smaller markets.

Treat location as one input, then test the business
A dense market can offer a large catchment, but it can also carry high rent, labour costs and competition. A smaller community can have a defensible service role and durable earnings. Our geographic bands are proposed planning estimates; they cannot replace an assessment of the store. An 8× scenario is reserved for exceptional quality, not awarded automatically for a postcode. Valuation considers more than a formula, and a negotiated price can differ from standalone value because of strategic fit, diligence and financing. The review below is an owner preparation framework, not a formula assigning fixed percentage uplifts. BDC
Earnings quality and cash conversion
Buyers need to understand which earnings can continue under successor ownership. Reconcile operating results to statements, tax filings and service-line records. Support add-backs and subtract missing replacement costs before discussing a multiple.
- More supportive: consistent margins, credible recurring demand, reliable collections, clean inventory records and documented normalisation.
- Less supportive: unexplained year-end adjustments, unreconciled gross margins, aged receivables, obsolete stock, temporary subsidies and earnings dependent on an owner working unpaid hours.
- Separate growth already evidenced in operations from forecasts, buyer synergies and uncommitted clinic expansion. Do not capitalise the same benefit in EBITDA and again as an unsupported multiple uplift.
People, premises and transferability
A pharmacy that can operate well without the departing owner reduces transition uncertainty. The cost of sustaining that capability must already be in the earnings bridge.
- Supportive: an experienced manager, retainable staff, documented procedures, practical relief coverage and a clear transition plan.
- Detracting: key-person dependence, vacancies, unusual overtime, fragile service coverage or employment arrangements that need rebuilding.
- A durable assignable lease, usable renewal terms, reasonable occupancy costs and practical premises can support confidence. Short tenure, consent uncertainty, major repair needs or a required relocation can reduce it.
- Ownership, professional and third-party approval requirements must be assessed for the actual transaction; they are not automatic merely because a buyer owns other stores. Ontario College of Pharmacists
Demand, services and concentration
Consider the diversity and stability of the business, not simply prescription counts. A strong service contribution after its true delivery costs may improve earnings resilience.
- Review patient and prescriber concentration, nearby alternatives, hours, access and the durability of service relationships. Patient choice and professional independence remain essential.
- Understand payer and service-line concentration, reimbursement exposure and whether any programme depends on one prescriber, funder or temporary arrangement.
- Clinical services, OAT, specialty work, packaging or delivery may add capability, but also staffing, compliance and logistics costs. None deserves an automatic premium.
- Assess catchment stability, competing openings, clinic continuity and local recruitment; high population is not a substitute for evidence of sustainable demand.
Risk, execution and the seller’s outcome
Review compliance history, controlled-drug governance, privacy, security, equipment, systems, supplier terms, financing, inventory convention and diligence readiness. Uncertainty can affect both price and how much is conditional or deferred. A headline multiple without its payment conditions can mislead.
For a smaller-market store, improve what a buyer can verify: a sustainable staffing plan, secure premises, diversified demand, clear records and a realistic handover. Those strengths can support a better assessment than the regional planning envelope suggests. A store-specific conclusion may also be lower.
Prepare an evidence list for each strength and a costed remediation plan for each weakness. Ask S&B to review the complete business before treating any planning multiple as an asking price.
