Pharmacy acquisition financing: how sellers can assess buyer capacity
Understand how experienced groups and individual owners approach funding, and what a seller should verify before relying on an offer.

A large pharmacy portfolio is not a funding approval
An experienced group or established individual owner can bring operating expertise and substantial acquisition capacity. The financing for a particular pharmacy still needs to fit the buyer’s approvals, equity, existing commitments and the proposed store’s economics. Stores under management describe portfolio scale, not unused borrowing capacity or a guarantee of an unconditional offer.
S&B’s preferred list contains estimated buyer segments within the wider network described by management. Confirm the actual buyer’s current appetite and funding process before relying on a profile. The following questions are an owner discussion framework, not a lender assessment or credit approval.
What is the buyer financing?
Ask for a complete uses-and-sources schedule. Uses can include the agreed purchase price, eligible inventory or working-capital funding, transaction costs, required upgrades and a liquidity reserve. Sources identify committed buyer equity, acquisition debt and any agreed vendor financing. The totals should reconcile.
BDC’s acquisition-financing information calls for a defined structure, agreed price, LOI, expected closing date and understanding of the down payment. That illustrates why a general statement of interest is different from a financeable transaction. Each lender’s requirements and product eligibility can differ. Business Development Bank of Canada
How EBITDA relates to debt-service capacity
A simplified debt service coverage ratio divides EBITDA by annual principal and interest payments. For example, invented sustainable EBITDA of $300,000 divided by $200,000 annual debt service produces 1.5 times coverage. That arithmetic is not an acceptable lending threshold or an approval. Lenders can use different definitions and deductions. Business Development Bank of Canada
Use the right earnings input. If replacement pharmacist coverage, a manager’s salary or a necessary service cost is missing, the available cash may be overstated. Ask whether the lender uses store-level earnings, consolidated group results, a guarantor or some combination. A group’s other obligations can affect the transaction even when this pharmacy performs well.
What to verify without asking for unnecessary private information
BDC describes financial strength, assets, management credibility and credit history among underwriting considerations. A seller does not need to conduct the lender’s credit process, but does need evidence relevant to execution. Route sensitive funding information through the agreed confidential diligence process. Business Development Bank of Canada
- Who has authority to approve the acquisition, and what approvals remain?
- Is the proposed equity available for this transaction and consistent with the timing?
- Is there a lender indication, conditional commitment or completed approval—and what conditions remain?
- What lease, regulatory, valuation, insurance or other requirements could prevent funding?
- Who tracks those conditions and communicates changes before the closing deadline?
Vendor financing and earnouts change the seller’s risk
Vendor financing means part of the price is owed to the seller after closing. An earnout makes some consideration dependent on specified future results. Both need careful drafting and should be shown separately from unconditional cash. Business Development Bank of Canada
For a vendor note, take advice on repayment, interest, security, priority, subordination and default remedies. For an earnout, test the measurement definition, accounting policies, control over the business, access to information and dispute process. Do not assume a larger headline amount compensates for a risk you have not understood.
Compare certainty as well as price
Create an offer comparison with price convention, cash at closing, funding conditions, remaining approvals and your transition duties in separate columns. A higher offer with unresolved funding and substantial deferred consideration may serve your goals differently from a simpler offer. The right choice depends on your objectives and professional advice.
