Exit planning
When should you sell? Build readiness before chasing a market window
Separate personal timing, business readiness and uncertain market conditions to create a practical exit plan.
Educational owner resource. Read the cited sources and obtain advice for your circumstances.
Make three timelines visible
Your personal timeline, the pharmacy’s readiness and a buyer’s process do not necessarily move together. You may want to retire in a year while a lease issue takes longer to resolve. You may be ready to sell while the preferred buyer still needs financing. Treat timing as a set of dependencies that can be prepared for, not a single date you can control.
Write down your preferred date, earliest acceptable date and latest comfortable date. Add boundaries around owner involvement after closing. If family, health or partnership circumstances create urgency, say so privately to your advisors so they can help design a realistic process. Urgency does not make an unsupported price assumption more reliable.
Improve choices before choosing a launch date
Use the period before a sale to make information easier to trust and the pharmacy less dependent on you. Complete reconciliations, document adjustments, review the lease, build staffing coverage and organize material contracts. These actions do not promise a particular multiple. They help a buyer investigate the business and help you understand the trade-offs available.
A 12–24-month preparation roadmap is a planning option, not a claim that every transaction takes that long. Owners with stronger records may need less preparation; unresolved contracts or succession issues may need more. BDC’s transition guidance emphasizes planning and the possibility of continued seller involvement. Business Development Bank of Canada Build the transition you can sustain rather than assuming an immediate, complete departure.
Use market information within its limits
Public acquisition announcements show historical activity. Pharmaceutical sales and prescription statistics describe particular market measures. They cannot tell you the price a specific buyer would pay today. A change in sector revenue also does not automatically improve sustainable earnings at your store. Look at your own gross profit, staffing, owner contribution and contractual exposure alongside broader context.
Avoid delaying indefinitely for an assumed peak multiple. Compare a prepared sale process with the consequences of waiting: personal fatigue, necessary investment, lease renewal, successor availability and the performance evidence you expect to have. Use scenarios to examine the decision; identify which assumptions are within your control and which remain uncertain.
Choose review points and an alternative path
Create milestones rather than a rigid promise. For example, finish the financial bridge, complete counsel’s contract review, establish a relief plan and decide whether to test a sale process. At each milestone, reconsider readiness and owner goals. A reasoned decision to wait is different from simply allowing preparation to drift.
Also plan for a process that does not close. Decide what information you will retain, which confidential access you will revoke and how the business will continue operating. Consider internal succession, a longer transition or another timetable only with appropriate advice. Complete the readiness quiz and use the roadmap to identify your next three actions. A confidential conversation can then focus on timing choices that fit the business and your life.
