Pharmacy seller document checklist

An indexed evidence list for preparation and controlled diligence, with sensitive records kept out of public forms.

Educational owner resource. Read the cited sources and obtain advice for your circumstances.

Build an index before uploading documents

Use this checklist to organize preparation, then have your advisors tailor the actual disclosure list. It is not a demand to share every document with every buyer. Assign each item an owner, date, version, access level and status: ready, needs update, unavailable or not applicable. A questions log should link to the current file.

Do not upload patient information, prescriptions, staff identification records, passwords, access tokens or complete bank details to resource-centre forms. Detailed diligence belongs in a separately controlled process. PIPEDA’s transaction disclosure provisions are conditional, and applicable provincial/health-information rules require qualified review. Department of Justice Canada

Corporate and financial records

Collect material that identifies the legal seller and explains the financial history. Keep actual legal and account identifiers restricted until needed. Provide an earnings bridge with positive and negative adjustments rather than a separate unsupported adjusted-profit total. Record the metric, period, convention and evidence status.

  • Corporate organization chart, incorporation/ownership records and material shareholder agreements for advisor review.
  • Three completed years of financial statements, current year-to-date accounts and prior-period comparison.
  • Relevant tax returns and assessments, with scope and disclosure reviewed by the accountant.
  • General ledger support and reconciliation for material revenue, expense and earnings differences.
  • Normalized EBITDA schedule, adjustment evidence, owner roles/hours and replacement-cost assumptions.
  • Inventory summary, valuation/count method and ineligible-stock policy; receivables/payables aging where relevant.
  • Debt, security, guarantees and contingent obligations, with sensitive account information controlled.

Premises, people and operating arrangements

Document what the buyer must continue paying for and which arrangements depend on consent. Describe the operation in enough detail to investigate continuity. Use appropriately redacted staffing summaries first; disclosure of individual employment records should follow qualified advice.

  • Signed lease, amendments, renewals, occupancy costs, guarantees and assignment/change-of-control terms.
  • Property ownership records and proposed lease terms if real estate is retained; property diligence if included.
  • Staffing roster by role, hours, compensation categories, vacancies and relief coverage.
  • Employment arrangements and accrued obligations for confidential legal review.
  • Material banner, supplier, software, delivery, institutional/service and other contracts.
  • Operating procedures, systems inventory, necessary investment and transfer/continuity dependencies.
  • Lawful aggregate prescription, service, gross-profit and concentration summaries with consistent definitions.

Regulatory and risk records

Confirm current status and unresolved issues with advisors rather than treating a checklist tick as compliance certification. The route depends on jurisdiction and the deal structure; Ontario’s purchasing guidance is a useful province-specific example, not a national instruction. Ontario College of Pharmacists

  • Required pharmacy accreditation/licences and relevant renewal/status evidence.
  • Inspection or regulatory correspondence, outstanding remedial matters and relevant professional oversight arrangements.
  • Insurance policies, claims and known disputes, with confidentiality restrictions reviewed.
  • Material compliance, privacy and security policies and any issues requiring professional advice.
  • A transaction approval/notification schedule covering regulator, payer, landlord and contractual dependencies.

Sale-process and closing materials

Separate preparation files from binding commitments. Keep an approved proposal-comparison sheet showing structure, payments, conditions and transition obligations. BDC’s diligence guidance explains the role of investigating the business before definitive agreement. Business Development Bank of Canada Your advisors should determine what evidence and protections the specific transaction requires.

  • Reviewed CIM, dated assumptions, source files and unresolved-issues register.
  • Confidentiality/disclosure protocol, named access recipients and access log.
  • LOI and definitive agreement versions with clearly identified approval status.
  • Financing/approval milestones, inventory or working-capital process and dispute responsibilities.
  • Owner transition scope, service-continuity plan and communication sequence.
  • Closing deliverables, release conditions, holdback/vendor-finance tracking and post-closing action owners.

Start with the gaps that affect decisions

Your first action is to mark this index honestly. Select the missing items that could change price, timing or the ability to complete a sale, then assign a responsible advisor and next step. Do not spend weeks formatting low-priority files while a lease or staffing issue remains unresolved. Bring the index to a confidential discussion to turn it into a realistic preparation plan.
