Preparation

Lease and staffing readiness: can a buyer keep the pharmacy running?

Bring premises security, coverage costs and ownership-change dependencies into the sale discussion early.

Educational owner resource. Read the cited sources and obtain advice for your circumstances.

Read the premises documents as an operating plan

A buyer needs to understand where the pharmacy can operate and on what terms. Assemble the current lease, amendments, renewal notices and any relevant premises arrangements. Identify the remaining term, rent escalations, additional occupancy costs, permitted use, assignment provisions and any guarantees. An owner’s recollection of a conversation with a landlord should not replace the documents.

If you own the premises, decide whether the property will be sold, retained and leased, or discussed separately. State the assumed future occupancy cost in the earnings bridge. A pharmacy’s operating value and the building’s value are separate planning questions. Related-party rent needs a transparent assumption rather than a hidden benefit in normalized earnings.

Identify the conditions without promising consent

Ask qualified counsel which landlord, banner, supplier and other approvals are triggered by the proposed structure. A share purchase and an asset purchase can raise different contractual issues. Do not assume that changing the structure removes every consent requirement or that a landlord will approve an assignment on the existing terms.

Map each condition to an owner, evidence requirement and realistic deadline. Record what happens if a renewal or consent changes economics. A buyer and seller may need to revise their arrangement before agreeing an unconditional closing date. This work can begin privately before any broader process exposes the identity of the pharmacy.

Cost the team that must exist after closing

Prepare an operating roster showing roles, hours, vacancy coverage and the tasks you perform yourself. A job title does not reveal the whole workload. Document whether someone handles purchasing, scheduling, clinical oversight, financial reconciliation and supplier issues. Estimate the ongoing costs with your advisors and keep unconfirmed assumptions visible.

Use a secure staffing summary for early diligence. Do not circulate employee identity documents, private contact information or health details through ordinary forms. Employment obligations and permissible disclosures need legal review. Discuss the buyer’s continuity plan in concrete terms: who leads the store, how relief is arranged and who communicates proposed changes.

Make regulatory steps a closing dependency

Rules differ by jurisdiction and transaction. In Ontario, the College’s purchasing guidance treats an acquisition of an existing pharmacy through that route as requiring a new Certificate of Accreditation and a complete application at least 45 days before the proposed opening. That is a filing requirement, not guaranteed approval within 45 days. Ontario College of Pharmacists Confirm the route that applies to the actual deal, including whether corporate-amendment procedures are relevant.

A practical readiness package combines premises documents, a costed staffing model, a consent checklist and a regulator/payer transition plan. Identify any impact on systems, accounts and service continuity. Use the seller document checklist to gather the evidence. A confidential review can address problems early while giving a future buyer a clearer picture of how the pharmacy will operate.
